NEW YORK, Nov. 11, 2010 (GLOBE NEWSWIRE) -- Mercer International Inc. (Nasdaq:MERC) (TSX:MRI.U) (the "Company") today announced that it has agreed to sell $300 million in aggregate principal amount of 9.5% senior notes due December 1, 2017 (the "New Notes") to initial purchasers who will resell the New Notes to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act. The New Notes will be issued at a price of 100% of their principal amount. The net proceeds of this issuance, together with cash on hand, will be used to finance the tender offer and consent solicitation for any and all of the Company's currently outstanding 9.25% Senior Notes due 2013. The offering of the New Notes is scheduled to close on November 17, 2010, subject to closing conditions.
