CHARLOTTE, N.C., May 31, 2011 (GLOBE NEWSWIRE) -- Swisher Hygiene Inc. ("Swisher Hygiene") (Nasdaq:SWSH) (TSX:SWI), a leading provider of essential hygiene and sanitation products and services, today announced that it has acquired Pro-Chem Industrial, Inc. ("Pro-Chem"), a Wyoming-based hygiene and chemicals company.
Pro-Chem serves the Wyoming, Montana, North Dakota and South Dakota markets and provides specialty chemicals and warewash service programs to the foodservice and hospitality industries. Pro-Chem is one of the largest chemical service companies in the region and extends the coverage area of Swisher Hygiene's recent acquisition of Mt. Hood Solutions. Concurrent with the acquisition, Waylon Geuke, the owner of Pro-Chem, will be joining Swisher Hygiene.

Total consideration paid by Swisher Hygiene in connection with the acquisition includes $1,300,000 in cash, the assumption of certain liabilities and the issuance of up to 340,958 shares of common stock of Swisher Hygiene, subject to certain restrictions and conditions, including customary deliveries required by the Toronto Stock Exchange.
