The investigation concerns whether the board of directors are breaching their fiduciary duties by failing to adequately shop the Company and maximize shareholder value. Under the terms of the agreement, MDMD shareholders would receive $22.00 per share in cash, but at least one analyst has set a target price of $23.00 per share. In addition, the offer price is lower than average net income and EBITDA multiples on comparable transactions. DG would also acquire over $100 million in cash held by MDMD.
